1. INTRODUCTION AND ACCEPTANCE
Welcome to Pangolin Publications Limited. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and digital platforms for browsing, purchasing, licensing, and renting learning materials, including but not limited to notes, questions and answers, online classes, online tutorials, discussions, and practical training (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you and Pangolin Publications Limited ("Pangolin," "we," "us," or "our").
You agree that your use of the Services constitutes your affirmative consent to be bound by these Terms, forming a legally binding electronic contract in accordance with the Tanzania Electronic Transactions Act, No. 13 of 2015.
2. DEFINITIONS

"Rental"
refers to the temporary acquisition of a limited license to access and use a specific Material for a defined period, after which access is terminated.

"Digital Content"
refers to Materials provided in electronic formats (e.g., PDF, EPUB, interactive modules).
"Materials"
refers to all learning content available through our Services, including digital and physical formats.
"Physical Rental"
refers to the rental of physical books.
"Rental Period"
means the specific timeframe for which a physical book is rented, as specified at checkout.
"Due Date"
means the date by which a physical book must be returned to our designated center.
"Physical Damage"
means any alteration to a book's original condition beyond normal wear and tear.
"Loss"
means failure to return a book by the Due Date, or notification from the customer that the book is lost, stolen, or destroyed.
3. INTELLECTUAL PROPERTY RIGHTS
All Materials, the Services, and their content (including text, graphics, logos, software, and designs) are the exclusive property of Pangolin Publications Limited, its affiliates, directors, officers, employees, agents, suppliers, and licensors. They are protected by Tanzanian and international copyright, trademark, patent, and other intellectual property laws.
Your use of the Services does not transfer any ownership rights to you. You agree not to:
Reproduce, distribute, modify, display, perform, or create derivative works from any Materials without our express written permission
Use any of our trademarks, service marks, or logos
Attempt to register any of our intellectual property as your own
Remove, alter, or obscure any copyright, trademark, or other proprietary notices appearing on or in connection with the Services
4. ACCOUNT REGISTRATION AND SECURITY
To access certain features of our Services, particularly rentals and purchases, you must create an Account. You agree to:
Provide accurate, current, and complete information during registration
Maintain and promptly update your Account information to keep it accurate, current, and complete
Maintain the security and confidentiality of your password
Accept all risks of unauthorized access to your Account
Notify us immediately of any unauthorized use of your Account or any other breach of security
Be fully responsible for all activities that occur under your Account
You may not create an Account using a false identity or on behalf of someone other than yourself.
5. LICENSE GRANT AND RESTRICTIONS
5.1 License Grant
Subject to your compliance with these Terms and payment of all applicable fees, Pangolin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Materials you acquire solely for your personal, non-commercial, educational purposes.
5.2 Restrictions
You MUST NOT:
Copy, reproduce, modify, distribute, display, perform, or create derivative works from the Materials
Share your login credentials or allow any third party to access the Materials licensed to you
Remove any proprietary notices, watermarks, or digital rights management (DRM) information
Use the Materials for any public performances, commercial purposes, or systematic downloading to create a separate collection
Reverse engineer, decompile, or disassemble any software or digital content
Use any automated system (e.g., bots, crawlers, scrapers) to access the Services or extract data
Attempt to access any other user's account
Circumvent or attempt to breach any security or authentication measures
Use our Services to distribute malware, viruses, or other harmful code
Impersonate or misrepresent your affiliation with any person or entity
Encourage or assist anyone in doing any of the above
6. PURCHASE TERMS
For Materials designated for purchase, you obtain a perpetual (non-expiring) license for personal use, subject to the restrictions in Section 5.2. We reserve the right to remove or discontinue access to purchased Materials only in exceptional circumstances (e.g., legal requirement, material error). Where possible, we will provide a pro-rata refund or substitute access of comparable value.
7. SPECIFIC TERMS FOR PHYSICAL RENTALS
7.1 Rental Period
The Rental Period begins at the time of purchase confirmation and expires on the date specified at checkout. You are responsible for noting the expiration date. We may send a reminder email prior to expiration, but failure to receive such reminder does not extend the Rental Period.
7.2 Access During Rental
You may access and use the rented physical book during the Rental Period, subject to these Terms.
7.3 Automatic Termination
Upon expiration of the Rental Period, your license to access the rented book terminates. The book must be returned by the Due Date. No refunds or credits will be provided for expired rentals.
7.4 No Extensions or Transfers
Rental periods are fixed and cannot be extended, paused, or transferred to another user or title. A new rental purchase must be made for continued access.
7.5 Early Termination by User
You may stop using the rented book at any time and return it early, but you will not receive a refund for any unused portion of the Rental Period.
7.6 Customer Responsibilities for Physical Book Care
You agree to:
Keep the book in a safe, dry, and clean environment
Protect the book from liquids, extreme temperatures, and direct sunlight
Not remove, deface, or alter any labels, barcodes, or identification marks
Not make any marks, annotations, or highlights in the book
Use bookmarks instead of folding page corners
Not lend the rented book to any third party
Return the book in the same condition as received, accounting for reasonable wear and tear
7.7 Liability Acknowledgment
You accept full financial responsibility for the rented physical book from the time it leaves our facility until it is scanned as received at our return center. This includes loss, theft, damage during transit, or any deterioration beyond reasonable wear and tear.
8. DAMAGE CATEGORIES AND ASSOCIATED FEES
8.1 Minor Damage
Light creasing of cover or pages
Minor corner bumps
Small, non-obstructive stains (less than 1 inch diameter)
Light shelf wear
8.2 Moderate Damage
Water damage causing wavy pages but text remains readable
Broken spine but all pages intact
Significant highlighting/underlining (more than 10% of pages)
Torn pages (small tears, pages still attached)
Food/liquid stains affecting readability
Strong odors (smoke, mildew, pets)
8.3 Severe Damage
Missing or torn-out pages
Water damage making text illegible
Fire or smoke damage
Mold/mildew infestation
Intentional defacement (graffiti, carving)
Pet damage (chewing, clawing)
8.4 Lost Books
Not returned by Due Date + 14 days (considered lost)
Customer reports book as lost or stolen
Book returned in unusable condition (equivalent to loss)
8.5 Damage Assessment Process
Upon return, all books undergo a three-point inspection:

9. DAMAGE AUTHORIZATION AND DISPUTE RESOLUTION
9.1 Authorization to Charge
By renting a physical book, you authorize Pangolin to charge your payment method for any damages beyond normal wear and tear, late fees, or replacement costs as determined by our inspection team.
9.2 Damage Assessment Disputes
Our assessment of damage level and associated fees shall be final and binding, unless you dispute the assessment in writing within seven (7) days of notification. In the event of a dispute, we will work with you in good faith to resolve the matter, which may involve an independent inspection at a mutually agreed-upon facility. The costs of any independent inspection shall be shared equally between the parties unless the inspection reveals that our initial assessment was incorrect, in which case we shall bear the full cost.
9.3 Security Deposit Option
A refundable deposit of 50% of the book's value may be required for certain rentals. The deposit will be held until the book is returned and assessed, then applied to any damages or late fees, with the remainder refunded.
9.4 Exceptional Circumstances
We may, at our sole discretion exercised reasonably and in good faith, waive fees for:
Natural disasters (with official documentation)
Theft (with police report)
Medical emergencies (with supporting documentation)
10. LATE RETURNS AND COLLECTION COSTS
10.1 Late Fees
Books not returned by the Due Date will incur late fees. The specific late fee amount will be communicated at checkout or in a separate fee schedule on our website.
10.2 Collection Costs
If your account is referred to collections for unpaid fees, you agree to pay all associated collection costs, including but not limited to collection agency fees and court costs, in addition to the original debt.
11. CUSTOMER'S RIGHT TO PURCHASE
If a book is damaged or you wish to keep it:
During Rental Period:
Pay the difference between the rental fee and the current purchase price
After Due Date:
Pay 80% of the current retail price
Damaged Book Kept:
Pay the replacement fee minus any salvage value
12. SUSPENSION AND TERMINATION OF RENTAL PRIVILEGES
12.1 Account Suspension
We may immediately suspend your Account for:
Two (2) or more late returns within a six (6) month period
Any severe damage incident
12.2 Rental Privileges Revocation
We may permanently ban you from physical rentals for:
Intentional damage to rented materials
Theft or fraudulent activity
Three (3) or more damage incidents
Failure to pay assessed fees
13. DIGITAL CONTENT RENTALS
For digital content rentals, the license to access the Material automatically terminates upon expiration of the Rental Period. The Material will become inaccessible from your account. No refunds or credits will be provided for expired digital rentals.
14. FEES, PAYMENTS, AND TAXES
You agree to pay all fees (purchase prices, rental fees, subscription fees) as displayed at checkout
All fees are in Tanzanian Shillings (TZS) and are inclusive of applicable taxes unless stated otherwise
Fees are non-refundable except as required by law or as expressly stated in these Terms
You are responsible for any sales, use, or similar taxes imposed by any governmental authority
We may use third-party payment processors; by providing payment information, you authorize us and our processors to charge your selected payment method
15. SUBSCRIPTION PLANS
15.1 Subscription Fees
The fees for our subscription plans are as displayed on our website at the time of purchase and are subject to change. By subscribing, you agree to pay the fees applicable to the plan you select. Details of our current plans and pricing can be found on our website.
15.2 Subscription Scope
The subscription that you purchase or renew determines the scope, features, and price of your access. You may not transfer, assign, or share your subscription with anyone else.
15.3 Subscription Cancellation
We reserve the right to revoke any license to use content in our Subscription Plans for legal or policy reasons at any time, such as if we no longer have the right to offer specific content through a Subscription Plan. In such cases, we may, at our option, provide a pro-rata refund or substitute access of comparable value.
15.4 Your Cancellation
You may cancel your subscription at any time through your Account settings. Cancellation will be effective at the end of your current billing period, and you will not be charged for subsequent periods. No refunds will be provided for the remaining portion of a paid subscription period.
16. REFUNDS FOR DIGITAL SERVICES
Due to the digital nature of our products, all sales and rentals are final. Refunds are only considered in the following circumstances:
A technical error on our platform resulted in duplicate charges
The purchased or rented file is materially defective and we are unable to provide a replacement
Refund requests must be submitted within seven (7) business days (days on which banks are open for business in Dar es Salaam, Tanzania) stating the reasons for such refund request.
17. PRIVACY POLICY
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.
18. THIRD-PARTY LINKS
The Services may contain links to third-party websites or resources. You acknowledge and agree that Pangolin is not responsible or liable for:
The availability or accuracy of such websites or resources
The content, products, or services on or available from such websites or resources
Links to such websites or resources do not imply any endorsement by Pangolin. You assume sole responsibility and all risk arising from your use of any such websites or resources.
19. DISCLAIMER OF WARRANTIES
THE SERVICES, INCLUDING ANY CONTENT, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANGOLIN AND ITS AFFILIATES, SUPPLIERS, PARTNERS, AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING BUT NOT LIMITED TO:
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
WARRANTIES REGARDING THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY, ACCURACY, OR ERROR-FREE NATURE OF THE SERVICES
WARRANTIES THAT YOU WILL OBTAIN SPECIFIC RESULTS FROM USE OF THE SERVICES
The online classes and materials published within our platform are prepared to assist students in their learning journey. However, these resources should not replace comprehensive research or professional guidance in the relevant field as necessary.
20. LIMITATION OF LIABILITY
20.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, Pangolin Publications Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Services, including but not limited to damages related to educational outcomes, loss of information, loss of profits or revenue, whether incurred directly or indirectly, or any other claims resulting from:
Your access to, use of, or inability to access or use our Services
Any conduct or content of any party other than Pangolin
Unauthorized access, use, or alteration of your content or information
20.2 Cap on Liability
Pangolin's total liability to you for any direct damages (being immediate, measurable losses tied directly to our breach of these Terms) shall be limited to the greater of: (a) the amount you paid us for the specific Service giving rise to the claim during the three (3) months preceding the claim; or (b) TZS 50,000.
20.3 Exceptions
Nothing in these Terms shall limit or exclude our liability for:
Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded or limited by applicable Tanzanian law
20.4 Time Limit for Claims
Any cause of action related to the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
21. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Pangolin and its affiliates, subsidiaries, officers, directors, suppliers, partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with:
Your access to or use of the Services
Your violation of these Terms
Your violation of any rights of any third party
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
22. TERMINATION
22.1 Termination by Us
We may suspend or terminate your Account and access to the Services immediately, without prior notice, if you breach these Terms.
22.2 Effect of Termination
Upon termination, you must cease all use of the Services and Materials. Sections 3 (Intellectual Property Rights), 19 (Disclaimer), 20 (Limitation of Liability), 21 (Indemnification), and 28 (Governing Law and Dispute Resolution) shall survive any termination.
22.3 Termination by You
You may terminate your Account at any time by ceasing to use the Services and, where applicable, contacting us to request Account deletion.
23. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice by posting the updated Terms on the Services and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

Any notice or other communication to be given under these Terms will be provided via:

Notices shall be deemed received upon sending if by email, or upon posting if on our website.
25. FEEDBACK
We welcome your feedback, suggestions, comments, and reviews ("Feedback"). By submitting Feedback, you grant us a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and incorporate such Feedback into our services, products, or marketing materials without compensation or acknowledgment to you.
All Feedback shall be deemed non-confidential and non-proprietary. We are not obligated to implement any suggestions or respond to any Feedback submitted. You agree that your Feedback shall not violate any third-party rights, including intellectual property rights, and shall not contain unlawful, defamatory, abusive, or otherwise inappropriate content. We reserve the right to remove or disregard any Feedback at our sole discretion.
26. FORCE MAJEURE
Pangolin shall not be liable for any failure or delay in performance arising out of a cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
27. ASSIGNMENT
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Pangolin may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
28. GOVERNING LAW AND DISPUTE RESOLUTION
28.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.
28.2 Negotiation
Any dispute arising out of or in connection with these Terms shall first be referred for good faith negotiation between the parties for a period of thirty (30) days. Either party may initiate this process by sending written notice of the dispute to the other party.
28.3 Mediation
If the dispute is not resolved through negotiation, it shall be referred to mediation in accordance with the mediation rules of the Tanzanian courts. The parties shall share the costs of mediation equally.
28.4 Jurisdiction
If mediation fails to resolve the dispute, the dispute shall be resolved exclusively by the courts located in Tanzania Mainland. The parties irrevocably submit to the exclusive jurisdiction of such courts.
29. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions shall continue in full force and effect.
30. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Pangolin regarding your use of the Services and supersede all prior or contemporaneous communications, promises, and proposals, whether oral, written, or electronic, between you and Pangolin regarding the Services.
